Commercial Law

Provides in-depth analysis of contract law. Introduces Article 2 of the Uniform Commercial Code, agency relationships, and sole proprietorships, partnerships and corporations. Prerequisite: PLG 114 or consent of program director. Students cannot earn credit for both PLG116 and for either BUS205 or BUS206.

Course Learning Outcomes:

1. Describe the general principles of contract formation.
2. Describe contract principles performance, substantial
performance and breach of contract.
3. Describe contractual remedies.
4. Describe affirmative defenses in lawsuits for breach of contract.
5. Explain function of Article 2 of the Uniform Commercial Code.
6. Draft a simple contract.
7. Compare and contrast three (3) of the legal advantages and three (3) of the legal disadvantages of a sole proprietorship.
8. Compare and contrast three (3) of the legal advantages and three (3) of the legal disadvantages of general and limited partnerships.
9. Compare and contrast three (3) the legal advantages and three (3) of the disadvantages of corporations.
10. Complete the legal documents needed to establish a business.
11. Explain the duties of agency relationships.
12. Apply the Code of Professional Responsibility to a legal problem.
